  • Always number the pages of a contract. This eliminates the possibility of the other party adding more pages with a malicious intent.

  • Always use active voice when drafting a contract.

  • Uniformity of language is extremely important. For example – if you start drafting in British English, make sure you follow the same thing for the whole contract.

  • Use tables and graphs judiciously to represent large amounts of data. It makes the contract easier to read.

  • Make sure that if the contract includes a list, it also includes whether the list is exhaustive or not.

  • While drafting a contract, make sure it is not one-sided. Always make room for the other party, depending upon negotiations.

  • Try to maintain coherency when several parties are involved in a contract or persons with multiple positions within an organization are mentioned.
